Interpretation

Words with initial capital letters have meanings defined below. The following definitions apply regardless of whether they appear in singular or plural form.

Definitions

For the purposes of these Terms and Conditions:

  • Affiliate means an entity that controls, is controlled by, or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority.

Acknowledgment

Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including if you breach these Terms and Conditions.

Upon termination, your right to use the Service will cease immediately.

Limitation of Liability

Notwithstanding any damages that you might incur, the entire liability of Cheryl Grant, including her affiliates, employees, contractors, and any service providers, under any provision of these Terms — and your exclusive remedy for all of the foregoing — shall be limited to the amount actually paid by you through the Service.

To the maximum extent permitted by applicable law, in no event shall Cheryl Grant or any of her affiliates, partners, or service providers be liable for any special, incidental, indirect, consequential, or punitive damages whatsoever, including but not limited to:

  • loss of profits,

  • loss of revenue,

  • loss of data or other information,

  • business interruption,

  • personal injury,

  • loss of privacy arising out of or in any way related to the use of or inability to use the Service,

  • third-party software or hardware used with the Service, or

  • any other matter in connection with these Terms — even if Cheryl Grant or any representative has been advised of the possibility of such damages, and even if the remedy fails of its essential purpose.

Because some jurisdictions do not allow the exclusion or limitation of implied warranties or liability for incidental or consequential damages, some of the above limitations may not apply to you. In such cases, each party’s liability will be limited to the greatest extent permitted by law.

“As Is” and “As Available” Disclaimer

The Service is provided to you “as is” and “as available,” without warranties of any kind. To the maximum extent permitted under applicable law, Cheryl Grant expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We make no warranty that the Service will be uninterrupted, secure, error-free, accurate, or reliable; that defects will be corrected; or that the Service is free of viruses or harmful components.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions. Your use of the Service may also be subject to other local, national, or international laws.

Dispute Resolution

For European Union (EU) Users

If you are an EU consumer, you will benefit from any mandatory provisions of the law of the country in which you reside.

United States Legal Compliance

You represent and warrant that (i) you are not located in a country subject to a U.S. government embargo or designated as a “terrorist-supporting” country, and (ii) you are not listed on any U.S. government list of prohibited or restricted parties.

Severability and Waiver

Severability: If any provision of these Terms is held unenforceable or invalid, that provision will be modified to achieve its intent to the greatest extent possible, and the remaining provisions will continue in full force and effect.

Waiver: Failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Translation Interpretation

If these Terms are translated into other languages, the original English version will prevail in the event of any dispute.

Relationship to the Privacy Policy

Your use of our websites and services is also governed by our Privacy Policy. The Privacy Policy explains how we collect, use, and protect your personal information. By using our websites, you acknowledge and agree that you have read and understood both the Terms and the Privacy Policy, and that both documents form part of the overall agreement between you and Cheryl Grant.
